Welcome to ADA2U, operated by ADA Shared Services Sdn Bhd. (200801004348 / 805632-X) (“ADA”, “ADA2U”, “we”, “us” or “our”).
These Terms and Conditions (“Terms”) govern your access to and use of our website at ada2u.com, as well as the purchase, booking and use of co-working spaces, office facilities and other services provided by ADA Shared Services Sdn Bhd.
By accessing our website, creating an account, making a booking, purchasing a service, or using any ADA2U workspace or facility, you acknowledge that you have read, understood and agreed to these Terms.
If you do not agree with these Terms, you should not purchase or use our services.

2. Our Services
ADA2U provides flexible workspace and related business services which may include, but are not limited to:
- Hot desks and shared workspaces;
- Dedicated desks;
- Private offices and office suites;
- Serviced offices;
- Enterprise or customised office spaces;
- Daily or short-term workspace passes;
- Meeting rooms and event spaces;
- Virtual office services;
- Business mailing or correspondence addresses;
- Mail handling services;
- Internet and Wi-Fi access;
- Office facilities and common areas;
- Administrative and business support services; and
- Other workspace-related services offered from time to time.
The exact facilities, benefits, access hours, capacity, location and services included in a particular plan will be stated on the relevant service or product page, quotation, booking confirmation or service agreement.
3. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase our services.
Where you purchase or use our services on behalf of a company, organisation or other entity, you confirm that you have the authority to bind that entity to these Terms.
You are responsible for ensuring that all information supplied to us during registration or booking is complete, accurate and current.
4. Online Account
Certain services may require you to create an ADA2U account.
You are responsible for maintaining the confidentiality of your account credentials and for activities carried out through your account.
You must notify us promptly if you believe that your account has been accessed or used without authorisation.
We may suspend access to an account where we reasonably believe that there has been unauthorised use, fraudulent activity, misuse of our services or a breach of these Terms.
5. Booking and Purchase of Services
All bookings and purchases are subject to availability.
Submitting an order or booking through our website does not necessarily guarantee that the requested workspace, facility or service is available.
A booking becomes confirmed once:
- the required payment has been successfully processed, where applicable; and
- a booking confirmation, order confirmation or other acknowledgement has been issued by ADA2U.
We will provide an electronic acknowledgement of your order or booking without undue delay.
You are responsible for reviewing your booking information before confirming payment.
Where reasonably possible, you may contact us to correct errors in a booking. Changes remain subject to availability and the applicable booking conditions.
6. Prices
Prices displayed on our website are stated in Malaysian Ringgit (RM) unless otherwise indicated.
The applicable price will be the price displayed at the time you place your order, subject to correction of obvious technical or pricing errors.
Where applicable, prices may include or be subject to:
- Sales and Service Tax (SST);
- Security deposits;
- Setup fees;
- Additional facility charges;
- Printing or administrative charges;
- Additional meeting room usage;
- Extra access cards or keys;
- Additional occupants;
- Mail handling or forwarding fees; or
- Other charges clearly disclosed before purchase.
Before payment is completed, the total amount payable and any applicable charges will be shown to you.
7. Payment
Available payment methods will be displayed during checkout.
Depending on the service, payment may be required:
- In full at the time of booking;
- Monthly;
- In advance;
- By deposit followed by balance payment; or
- According to a quotation or separate service agreement.
Your booking may not be confirmed until payment has been successfully received.
You are responsible for ensuring that you are authorised to use the selected payment method.
Payments may be processed through third-party payment gateway providers. Your use of a third-party payment service may also be subject to that provider’s terms and privacy practices.
8. Recurring Memberships and Renewals
Where a membership or office plan is offered on a recurring basis, the applicable billing period and renewal terms will be clearly stated before purchase.
Where automatic renewal applies, you authorise us or our payment provider to collect the applicable recurring charges using your selected payment method until the membership is cancelled in accordance with the applicable cancellation terms.
If automatic renewal does not apply, continued access may require you to manually renew the service.
Any minimum commitment period applicable to a plan will be stated before purchase or in the relevant service agreement.
9. Cancellation, Rescheduling and Refunds
Cancellation and refund conditions may vary depending on the type of workspace, membership, promotional package or service purchased.
The applicable cancellation conditions will be shown on the relevant product page, booking page, quotation, confirmation or service agreement.
Unless otherwise stated:
- Approved refunds will be made using the original payment method where reasonably practicable;
- Bank, payment gateway or administrative charges that are genuinely non-refundable may be deducted where permitted by law;
- Promotional or discounted purchases may have different cancellation conditions, which will be disclosed before purchase;
- Failure to attend or use a confirmed booking may be treated as a no-show; and
- Rescheduling requests are subject to availability.
Nothing in these Terms excludes any refund, remedy or other right that cannot lawfully be excluded under Malaysian law.
If ADA2U cancels a confirmed booking and cannot provide a reasonable alternative, the affected amount paid for the unavailable service will generally be refunded or credited, as appropriate.
10. Workspace Access
Workspace access is limited to the location, period, hours and facilities included in your booking or membership.
Access cards, keys, QR codes, passwords or other credentials provided to you:
- Remain the property of ADA2U where applicable;
- Must not be copied or transferred without permission;
- Must only be used by the authorised person; and
- Must be returned upon expiry or termination where required.
Replacement charges may apply for lost or damaged access cards, keys or other property.
ADA2U may reasonably restrict access outside operating hours or where necessary for safety, security, maintenance or operational purposes.
11. Licence to Use Workspace – No Tenancy
Unless a separate written tenancy agreement expressly states otherwise, your purchase or membership provides you with a licence to use the designated workspace and facilities only.
Nothing in these Terms creates:
- A tenancy;
- A lease;
- An interest in land;
- Exclusive possession of any premises; or
- A landlord-and-tenant relationship.
ADA2U retains possession, management and control of its premises and common areas.
Where your service includes a dedicated or private workspace, ADA2U may enter such workspace where reasonably required for emergencies, safety, maintenance, repairs, security or other legitimate operational purposes.
12. Workspace Rules and Member Conduct
You must use ADA2U facilities responsibly and in a manner that does not interfere with other members, visitors, staff or neighbouring premises.
You must not:
- Conduct illegal or unlawful activities;
- Use the premises for fraudulent or misleading activities;
- Cause excessive noise, nuisance or disruption;
- Harass, threaten or endanger another person;
- Damage ADA2U property or another person’s property;
- Bring dangerous, flammable, explosive or illegal substances onto the premises;
- Smoke or vape except in authorised areas;
- Interfere with security, access control, fire protection or safety equipment;
- Use ADA2U facilities for unauthorised manufacturing or industrial activities;
- Introduce malware, viruses or other harmful software into our network;
- Attempt unauthorised access to another user’s devices, accounts or data;
- Resell your workspace access without written approval; or
- Permit unauthorised persons to use your membership or access credentials.
You are also required to comply with reasonable house rules, building management rules, security requirements and health and safety requirements applicable at the relevant location.
13. Visitors and Guests
Visitors may be permitted subject to the conditions of your plan and the rules of the relevant location.
You are responsible for the behaviour of your guests while they are on ADA2U premises.
Visitors may be required to register with reception or security.
Certain workspace plans may impose limits or additional charges on the number of visitors permitted.
14. Meeting Rooms and Shared Facilities
Meeting rooms and other bookable facilities are subject to availability.
Users should vacate the facility promptly at the end of their booked time.
Additional charges may apply where:
- The booked time is exceeded;
- Additional cleaning is required;
- Equipment is damaged;
- Items are lost; or
- Additional services are requested.
Users are responsible for leaving shared facilities in a reasonable condition after use.
15. Internet and IT Services
Where internet or Wi-Fi access is provided, it is provided as a shared facility.
Although we aim to provide reliable connectivity, we do not guarantee that internet services will always be uninterrupted, secure or free from technical issues.
You are responsible for:
- Protecting your own devices;
- Maintaining adequate cybersecurity;
- Backing up your own data;
- Using appropriate antivirus and security software; and
- Ensuring that your use of the network complies with applicable laws.
You must not use our network for unlawful activities, cyberattacks, unauthorised downloading or activities that materially affect network performance for other users.
16. Personal Property
You remain responsible for your personal property while using ADA2U facilities.
You should not leave money, confidential documents, electronic devices or other valuable items unattended.
To the extent permitted by law, ADA2U is not responsible for theft, loss or damage to personal property unless the loss or damage directly results from our negligence or misconduct.
17. Damage to Property
You are responsible for damage caused by you, your employees, contractors, representatives, visitors or guests to ADA2U premises, furniture, equipment or other property.
Where reasonable, ADA2U may charge you for the cost of repairing or replacing damaged property.
Normal wear and tear is excluded.
18. Security Deposit
Certain office, membership or long-term workspace plans may require a refundable security deposit.
The amount and applicable conditions will be disclosed before the service begins.
We may deduct reasonable amounts from the security deposit for:
- Outstanding payments;
- Damage beyond normal wear and tear;
- Missing access cards, keys or equipment; or
- Other amounts properly payable under your agreement.
Any remaining balance will be returned according to the applicable service agreement.
19. Virtual Office and Business Address Services
Where you purchase a virtual office, registered address, business mailing address or mail handling service, additional conditions may apply.
You remain responsible for ensuring that your business:
- Is properly registered;
- Holds all required licences and approvals;
- Complies with SSM and other regulatory requirements; and
- Is legally permitted to use the selected address for the intended purpose.
ADA2U may request identification, company registration documents or other information before activating such services.
We may refuse or terminate address services where we reasonably suspect illegal, fraudulent, misleading or unauthorised activities.
Use of an ADA2U address does not create ownership, tenancy or any other proprietary interest in the premises.
Mail forwarding, courier or handling charges may apply where stated.
20. Business Registration and Compliance
You are solely responsible for obtaining any licence, registration, permit, approval or insurance necessary for your business activities.
ADA2U’s provision of workspace does not constitute approval or endorsement of your business or activities.
You must not represent that ADA2U is your partner, employer, agent or sponsor unless we have expressly agreed to this in writing.
21. Confidentiality
Co-working environments are shared spaces.
You are responsible for taking reasonable precautions to protect confidential information, including using meeting rooms or private spaces where appropriate.
ADA2U does not guarantee that conversations, screens, documents or information displayed in shared spaces cannot be seen or heard by others.
22. Personal Data and Privacy
When you use our website, create an account, make a booking or use our facilities, we may collect and process personal data.
We will process personal data in accordance with our Privacy Policy and applicable Malaysian personal data protection laws.
The Personal Data Protection Act 2010, as amended, applies to the processing of personal data in commercial transactions in Malaysia. PDP
Our Privacy Policy should be read together with these Terms.
23. Photography and CCTV
For security and safety purposes, CCTV may operate in common areas of ADA2U premises.
CCTV will not be installed in areas where individuals would reasonably expect complete privacy.
Photography or video recording for commercial purposes within ADA2U premises may require prior approval.
You must respect the privacy and confidentiality of other members when taking photographs or recordings.
24. Maintenance and Temporary Closure
From time to time, parts of our premises or facilities may be temporarily unavailable because of:
- Maintenance;
- Repairs;
- Building management requirements;
- Safety issues;
- Utility interruptions;
- Renovation;
- Events; or
- Circumstances outside our reasonable control.
Where reasonably possible, we will minimise disruption and provide advance notice of material planned closures.
25. Changes to Workspace or Facilities
ADA2U may make reasonable changes to:
- Furniture;
- Seating arrangements;
- Common facilities;
- Operating procedures;
- Workspace layouts; and
- Available amenities.
Where a material change substantially affects a service you have already purchased, we will endeavour to provide a reasonable alternative.
26. Suspension and Termination
We may suspend or terminate your access where reasonably necessary if:
- Payment remains overdue;
- You materially breach these Terms;
- You engage in illegal or fraudulent activities;
- You pose a safety or security risk;
- You repeatedly disrupt other users;
- You intentionally damage property;
- You misuse our network or facilities; or
- Continuing to provide the service would violate applicable law.
Where appropriate, we may provide an opportunity to remedy the breach before termination.
Serious misconduct may result in immediate suspension or termination.
Termination does not remove your obligation to pay amounts properly due before termination.
27. Website Availability
We aim to keep our website accurate and available but do not guarantee uninterrupted access.
We may temporarily suspend or restrict website access for maintenance, updates, cybersecurity or technical reasons.
Product images and illustrations are provided for general representation. Actual layouts, furniture, views or facilities may vary between locations.
Material features of each service will be described on the applicable service page.
28. Intellectual Property
Unless otherwise stated, all content appearing on the ADA2U website, including:
- Logos;
- Branding;
- Text;
- Graphics;
- Photographs;
- Videos;
- Website designs;
- Software; and
- Other materials
belongs to or is licensed to ADA Shared Services Sdn Bhd.
You may not reproduce, distribute, modify, commercially exploit or use such material without our prior written permission, except where permitted by law.
29. Third-Party Websites and Services
Our website may contain links to websites or services operated by third parties.
ADA2U does not control third-party websites and is not responsible for their content, availability, security or practices.
Use of third-party services is subject to their applicable terms.
30. Limitation of Liability
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.
To the maximum extent permitted by Malaysian law, ADA2U will not be responsible for indirect, incidental or consequential losses arising from the use of our services where such losses were not reasonably foreseeable.
We are not responsible for losses caused solely by:
- Events outside our reasonable control;
- Failure of third-party telecommunications or utility services;
- User negligence;
- Unauthorised access caused by a user’s failure to protect their credentials; or
- Loss of personal property for which we were not responsible.
Nothing in this section affects any statutory consumer rights that apply to you.
31. Indemnity
To the extent permitted by law, you agree to be responsible for losses, claims, costs or damages reasonably incurred by ADA2U as a direct result of:
- Your unlawful activities;
- Your material breach of these Terms;
- Intentional damage caused by you; or
- Claims arising from your business activities that are unrelated to ADA2U’s own acts or omissions.
32. Force Majeure
ADA2U will not be liable for delays or inability to provide services caused by events reasonably beyond our control, including natural disasters, floods, fires, epidemics, government restrictions, civil disturbances, utility failures, building emergencies or similar events.
Where such an event materially prevents us from providing a prepaid service, we will consider reasonable alternatives such as rescheduling, credit or refund where appropriate and required by law.
33. Promotions and Discount Codes
Promotions, vouchers and discount codes may be subject to additional conditions.
Unless otherwise stated:
- Promotions cannot be exchanged for cash;
- Promotions cannot be combined with other offers;
- Promotional availability may be limited; and
- Promotional bookings remain subject to availability.
Any specific promotional conditions will be disclosed with the promotion.
34. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, operations or applicable law.
Updated Terms will be published on our website together with the latest revision date.
Changes will not retrospectively remove rights that you have already acquired under a completed transaction where doing so would be contrary to applicable law.
Continued use of our services after updated Terms become applicable constitutes acceptance of the revised Terms.
35. Governing Law
These Terms are governed by the laws of Malaysia.
Any dispute will be subject to the applicable jurisdiction of the courts and tribunals of Malaysia.
Where you qualify as a consumer, nothing in these Terms prevents you from exercising any rights or remedies available under Malaysian consumer protection laws, including any applicable right to bring a claim before the Tribunal for Consumer Claims Malaysia.
36. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
37. Entire Agreement
These Terms, together with the relevant:
- Booking confirmation;
- Product or service description;
- Quotation;
- Membership agreement;
- Privacy Policy; and
- Any specific written service conditions
constitute the agreement between you and ADA2U concerning the relevant service.
Where a separately signed agreement expressly conflicts with these general Terms, the separately signed agreement will prevail for that particular service.
